1. Agreement

Secure Land Co (Seller) agrees to sell, and the Buyer agrees to purchase the specified vacant residential land property (identified by Parcel ID and Legal Description) under the terms outlined herein. This contract has substantial legal consequences — both parties are advised to consult legal and tax counsel before signing.

2. Payment Options

Cash Sale — Full payment is due at closing. The sale is final and not contingent on financing.

Owner Financing (Terms) — Seller finances a portion of the purchase price via a Promissory Note and Land Contract, with structured monthly payments covering principal, interest, a Note Servicing Fee, and estimated property taxes.

No prepayment penalties — the note may be paid off at any time
Only interest accrued up to the date of payoff will be assessed
A one-time processing fee is due at signing in addition to the down payment

3. Down Payment & Processing Fee

Buyer submits a down payment at signing. A one-time document processing fee is also due at signing. Receipt of both is acknowledged by the Seller upon execution.

4. Monthly Payments (Financing/Terms Only)

Payments are due 30 days from the contract date; invoices will be emailed with a payment link
A 5-day grace period applies; payments not received within the grace period will incur a late penalty
Payments are applied first to accrued interest, then to late charges, then to principal
Seller reserves the right to adjust the property tax portion of the monthly payment to reflect actual assessed taxes, with written notice to Buyer prior to any adjustment
If the Buyer sells the property, the remaining balance due must still be paid to Seller

5. Property Condition

Buyer acknowledges having personally inspected the property and accepts it in its “as-is” condition. Seller declares no knowledge of hazardous substances, petroleum products, underground storage tanks, wetlands, shoreland, or flood plain issues affecting the property.

90-Day Satisfaction Guarantee (Terms Contract only): If for any reason the Buyer is unsatisfied with the property within 90 days of the down payment date, Seller agrees to either exchange the property or refund all monies, minus closing costs, payment fees, and accounting setup fees.

6. Title & Conveyance

Seller conveys title to Buyer via Special Warranty Deed
Seller holds the deed until the property is fully paid off (under financing/terms)
Seller warrants the property title will remain free from loans, liens, or encumbrances throughout the payment period
Title will be recorded in the appropriate county within 30 days of final payoff
A title report is not provided at closing; Buyer may conduct their own title search at their own expense
If title defects are discovered, Seller will notify Buyer within 5 days of closing; Buyer may then cancel the contract (with full refund of earnest/down payment money), accept title as-is, or allow Seller reasonable time to cure defects

7. Closing

Closing occurs on or before the agreed date, unless extended by written agreement or due to title defect resolution (up to 7 additional days)
No closing costs to Buyer when closing directly with Seller (costs apply only if closed through a title company)
If using a title company, closing cost responsibilities are as follows:

8. Property Taxes

Seller pays annual property taxes; Buyer reimburses Seller each year
Failure to reimburse within 60 days of the due date voids the contract, and the remaining balance becomes due within 30 days

9. Default & Remedies

Buyer Default:

If Buyer misses a payment by 35 days, Seller notifies Buyer via email
Buyer then has 30 days to bring payments current
If payment is not received, the property is considered foreclosed and Buyer forfeits all payments made
Upon default, interest rate may increase by 5 percentage points

Seller Default:

If Seller fails to deliver clean title or make required repairs, Buyer may extend the closing period by up to 15 days or terminate the contract and receive a full refund of earnest/down payment money

Non-Payment Default:

If Buyer fails entirely to make payments, Seller will send a certified letter giving 30 days to pay before terminating the contract and re-selling the property

10. Timber & Land Use (Financing/Terms Only)

Seller reserves the right to limit timber removal from the property to only the area necessary to place a dwelling or structure, until the full purchase price (including interest) is paid.

11. Assignment

Buyer may not assign this agreement without Seller’s written consent
Seller may assign this agreement; it is binding on all heirs and assigns of both parties

12. Attorney’s Fees

The prevailing party in any legal proceeding related to this contract is entitled to recover all legal costs and reasonable attorney’s fees from the non-prevailing party.

13. Notices

All notices between parties must be in writing, delivered by mail, hand-delivery, or facsimile.

14. General Provisions

This contract constitutes the entire agreement between both parties and supersedes all prior oral or written representations
Changes to this contract are only valid in written form, signed by both parties
This agreement is governed by the laws of the applicable state
Time is of the essence in the performance of this agreement
No real estate broker or agent is employed in this transaction; if one was used, the employing party bears all related costs
